Current legal requirements related to company seats according to the Commercial Register, the Civil Code and legislation regarding licensed business activity:
Effective as of July 20, 2009, the Parliament of the Czech Republic adopted Act No. 215/2009, which among other things amended the wording of Section 19c of the Civil Code pertaining to company seats by establishing the right for legally registered entities and individuals to select their registered seats freely without a requirement for their seats to be their actual business locations. This change brought the wording of Section 19c of the Civil Code in line with the laws of the European Community governing freedom to have a company seated within EU member states.
The amended wording of Section 19c of the Civil Code is as follows:
㤠19c
(1) "A legally registered entity's seat is determined when it is established. A legal entity's seat may not be in a person's residence, if such location would conflict with the nature of the legal entity or the scope of its activities.
(2) If a legally registered entity is entered into a public register of records, the only requirement is that its founding document specify the name of the municipality where the legal entity's seat is located. The legal entity shall then submit a request for the full address of its registered seat to be entered into the public register."
(3) Everyone may recognize the actual seat of a registered legal entity. No legal entity may object against the seat registered in the public register based on the argument that the actual seat of the registered business is located elsewhere."
Act No. 513/1991 of the Commercial Code states in Section 37, paragraph 2 that when submitting a request for registration in the Commercial Register, the applicant shall prove the reason for using the spaces where the applicant's seat or place of business has been located, and this also applies for any potential changes to that location. A written statement from the owner fo the real estate property, residential premises or non-residential premises where the business is located and/or a statement from a person otherwise authorized to handle the real estate, residential premises or non-residential premises expressing consent for the location of the business at those premises serves as sufficient proof of the legal reason for using the premises."
